PARTICIPATION AGREEMENT

THE ALCHEMY OF PATTERNS: A MOROCCO RETREAT

TERMS AND CONDITIONS

In consideration of the Company’s acceptance of Participant on the Retreat, and intending to be legally bound, the Company and Participant agree as follows:

PURPOSE; INCLUSIONS AND EXCLUSIONS.
1. The purpose of this Agreement is to set forth the details, terms, and conditions of The Alchemy of Patterns: A Morocco Retreat (the “Retreat”) as outlined on the Retreat brochure, taking place from Thursday, September 24, 2026 through Thursday, October 1, 2026, to ensure each party is clear as to respective roles so that the experience will be positive, productive, and memorable.
2. The Retreat will include the following:
  - Private transfer from Marrakech Airport (RAK) to hotel
  - Private transfer from hotel to Casablanca Airport (CMN)
  - All lodging: 4 nights El Fenn (or similar), 1 night Inara Camp (or similar),
  - 2 nights La Sultana – Oualidia (or similar)
  - All meals
  - Private, air-conditioned vehicle with driver assigned to group throughout the Retreat
  - English-speaking guide throughout the Retreat
  - Workshops, networking, and coaching throughout the Retreat
  - Admission fees to monuments, museums, mosques, and palaces
  - Tips: Meals, private transfers, private driver, tour guide, hotel porters
3. The Retreat will not include the following:
  1. Flights to and from Morocco
  2. Alcohol
  3. Optional excursions: Hot Air Balloon, Camel Ride
  4. Spa and free-time activities at La Sultana
  5. Tips: Housekeepers, optional excursions
4. Any and all costs for items not listed in Section 1.2. are Participant’s responsibility.
PAYMENT TERMS; CANCELLATION.
1. Participant will pay for the Retreat via the sales link or other agreed-upon method.
2. Payments are non-refundable. Should Participant cancel or become unable to attend the Retreat, Participant may receive a refund of recoverable costs, if any, upon receipt from the vendor(s).
TRAVEL INSURANCE. As a condition of participation on the Retreat, Participant is required to obtain and maintain, at Participant’s sole cost and expense, a comprehensive travel insurance policy. Such policy must be valid for the entire duration of the trip and must include, at a minimum, coverage for: (a) trip cancellation and interruption; (b) emergency medical expenses and hospitalization; (c) emergency medical evacuation and repatriation; and (d) loss, theft, or damage to personal belongings. Participant shall provide proof of such insurance coverage to the Company prior to the trip departure date. Failure to obtain or maintain the required insurance coverage may result in denial of participation in the trip without refund. The Company does not provide travel insurance and shall not be responsible or liable for any costs, losses, injuries, damages, or expenses that would have been covered under such insurance policy. The Company will not be responsible for delay or cancellation of any forms of transport.
TRAVEL DOCUMENTATION. Participant is solely responsible for obtaining and maintaining valid travel documents required for entry into the destination country. Participant must possess a passport that is (a) valid for at least six (6) months beyond the date of entry into the destination country, and (b) in good condition, with at least one blank page available for entry stamps. Participants who do not meet these requirements may be denied boarding by their airline or refused entry by the destination’s immigration authorities. The Company shall not be responsible for any costs, losses, or disruptions resulting from failure to comply with passport or entry requirements.

CHANGES: Due to circumstances beyond its control, the Company may have to make changes to details, including dates and/or locations, both before and after the Retreat has been confirmed, and/or cancel the Retreat. The Company will endeavor to avoid changes and cancellations. If the Company must cancel the Retreat, Participant will be informed as soon as possible, and Participant may receive a refund of recoverable costs, if any, upon receipt from the vendor(s).
INTELLECTUAL PROPERTY RIGHTS. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Company or its members or managers to Participant.
ASSUMPTION OF RISK; RELEASE AND WAIVER OF LIABILITY. Participant acknowledges that participation in international travel, retreats, excursions, and related activities involves inherent risks, both known and unknown, including but not limited to risks of personal injury, illness, property damage, delays, and risks arising from travel in foreign countries. Participant voluntarily assumes full responsibility for any and all risks of loss, damage, injury, or expense that Participant may sustain arising out of or related to participation on the Retreat, whether caused by the ordinary negligence of the Company or otherwise.

To the fullest extent permitted by applicable law, Participant hereby releases, waives, discharges, and covenants not to sue the Company, its members, managers, agents, contractors, and representatives from any and all claims, demands, damages, losses, or causes of action arising out of or related to participation on the Retreat, including, without limitation, claims alleging the ordinary negligence of the Company. This release does not apply to claims arising from gross negligence, willful misconduct, or any liability that cannot be waived under applicable law.
CODE OF CONDUCT. Participant is responsible if Participant does something disruptive, destructive, or illegal during the Retreat. If Participant is found to possess any illegal drug or contraband during the Retreat, disrupt a Retreat activity to the point where the activity cannot be properly conducted, violate any applicable law or regulation at a Retreat location, or act without regard for the safety of another Retreat participant, then the Company in its sole discretion may ask the Participant to leave the activity or the Retreat. If the Participant is asked to leave the Retreat, the Participant agrees to forfeit any Retreat payments the Participant has made. The Participant will be fully responsible for any financial or physical damages incurred due to the Participant’s actions or omissions during the Retreat, whether intentional or not. Participant agrees to indemnify and hold harmless the Company and any third party from liability for the injury or death of any person(s) and damage to property that may result from Participant’s negligent or intentional act or omission while attending the Retreat.
MEDICAL & HEALTH CONDITIONS. Participant shall make the Company aware, at the time of booking, of any pre-existing medical conditions. To the extent Participant is taking any specific medications that may impact Participant’s participation while on the Retreat, if Participant does not make the Company aware of these at the time of booking, the Company will not be responsible for any health issues that arise from possible contraindications or otherwise. Participant is responsible for informing each restaurant of any food allergies or dietary restrictions. Participant agrees to the following: “I, the Participant, represent and warrant that I do not suffer from any medical condition or disease that might in any way hinder or prevent me from attending the Retreat or participating in Retreat activities. Should I require emergency medical treatment as a result of accident or illness arising during my participation in the Retreat, I consent to such treatment. I agree to be financially responsible for any medical or legal bills that may be incurred as a result of emergency medical treatment. I will promptly notify the Company if I am at any time injured or become ill prior to or during the Retreat, or if I have medical conditions about which emergency medical personnel should be informed; however, I understand that the Company is not legally obligated to act on that information in any way or to provide any medical service whatsoever to me.”
HEALTH & SAFETY REGULATIONS; PHYSICAL CONDITION. Participant must comply fully with any and all health and safety laws and regulations during the Retreat. Participant must ensure that he or she is medically and physically fit and able to participate in Retreat activities. If Participant has injuries or illnesses, he or she is advised to seek medical advice if planning to participate in physical activities. The Company is not liable for any injuries to Participant during his or her participation in Retreat activities.
HEALTH & COMMUNICABLE ILLNESS ACKNOWLEDGMENT. Participation in the Retreat (including all related travel and group activities) involves inherent health risks, including exposure to communicable illnesses such as COVID-19 or other infectious diseases. By attending the Retreat, Participant acknowledges that (a) Participant is voluntarily choosing to participate in a group travel experience, (b) Participant accepts full personal responsibility for his or her health and well-being, and (c) certain risks cannot be eliminated, regardless of planning or precautions. Participant agrees to refrain from attending the Retreat if Participant is experiencing symptoms of illness, and to follow any reasonable health guidelines communicated by the Company or local authorities during the Retreat. Participant further acknowledges that the Company cannot guarantee a risk-free environment and is not responsible for any illness or health-related outcomes that may arise in connection with Participant’s attendance on the Retreat.
MEDIA RELEASE. Representatives of the Company may take photographs, videos, audio recordings, or other recordings during the Retreat that the Company may use for future commercial purposes. By participating in the Retreat, Participant consents to being recorded and photographed and to the use of Participant’s likeness, writing, and voice in any media by the Company at any time and for whatever commercial purpose as the Company sees fit.
DISCLAIMER OF WARRANTIES. The Retreat and activities involved provided by the Company under this Agreement are provided on an “as-is” basis, without any warranties or representations express, implied or statutory; including, without limitation, warranties of quality, performance, non-infringement, merchantability, or fitness for a particular purpose.
PROFESSIONAL ADVICE DISCLAIMER. Participant acknowledges that the Company’s representatives or guest speakers are not acting as psychologists, therapists, lawyers, or financial advisors, and coaching and services provided do not replace the care of other professionals. Coaching is in no way to be construed or substituted as psychological counseling or any other type of therapy or advice.

The Company may provide Participant with information, products, or third-party recommendations that the Company believes might benefit Participant, but such information is not to be taken as an endorsement. The Company is not responsible for any adverse effects or consequences that may result, either directly or indirectly, from any information or coaching provided. Participant agrees that these are only suggestions, and the Company is not responsible for any adverse effects or consequences that may result, either directly or indirectly, from any information or services provided by a third party to Participant. There is no assurance as to any particular outcome based on participation in the Retreat. Participant accepts and agrees that Participant is solely responsible for results from the Retreat.
FORCE MAJEURE. The Company shall not be liable for any failure or delay in performance of its obligations under this Agreement if such failure or delay is due to causes beyond its reasonable control. These may include, but are not limited to, acts of nature, weather events, war, terrorism, government actions or travel advisories, pandemics, transportation disruptions, labor disputes, civil unrest, or the failure of third-party providers. In such circumstances, the Company reserves the right to modify, postpone, or cancel the Retreat as necessary.

If the Retreat is impacted by a force majeure event, the Company will make reasonable efforts to offer alternative arrangements, credits, or rescheduling options. However, refunds may not be available, and the Company shall not be responsible for additional costs incurred by Participants, including travel expenses.
DISPUTE RESOLUTION. If a dispute is not resolved first by good-faith negotiation between the parties, any controversy or dispute in connection with this Agreement or the Retreat will be submitted to the American Arbitration Association. The arbitration shall occur within ninety (90) days from the date of the initial arbitration demand and shall take place in Roanoke, Virginia, or via electronic communication. The parties shall cooperate in exchanging and expediting discovery as part of the arbitration process and shall cooperate with each other to ensure that the arbitration process is completed within the ninety (90) day period. The written decision of the arbitrators (which will provide for the payment of costs, expenses, and fees, including attorneys’ fees, by the non-prevailing party to the prevailing party) will be binding and conclusive and not subject to judicial review, and may be entered and enforced in any court of proper jurisdiction, either as a judgment of law or decree in equity, as circumstances may indicate.

GOVERNING LAW; VENUE. All matters regarding the formation, interpretation, and enforcement of this Agreement shall be governed by Virginia law, excluding its laws relating to choice of law.
SEVERABILITY: Participant acknowledges that this Agreement is intended to be as broad and inclusive as permitted by Virginia law. If any term, provision, covenant, or condition of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the rest of this Agreement shall remain in full force and affect and shall in no way be affected, impaired, or invalidated.
ENTIRE AGREEMENT. This Agreement contains the entire agreement between the parties and supersedes all prior agreements between the parties, whether written or oral. No representations, inducements, promises, or agreements which are not embodied in this Agreement shall be of any force or effect.
MODIFICATION; WAIVER. This Agreement may be modified only by a written document signed by both parties. No waiver of any part of this Agreement, including this Section, shall be binding on the waiving party unless the waiver is in writing and signed by the waiving party. No waiver or approval given by any party shall constitute a waiver or approval of any similar matter in the future.
VOLUNTARY AGREEMENT. Participant acknowledges that he or she has carefully read this Agreement, understands its terms, and signs it voluntarily.
